1. Acceptance of Terms

By accessing, browsing, or using ProfilePay ("Platform", "Service", "we", "us", or "our"), available at profilepay.in, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and our Cancellation & Refund Policy. If you do not agree to any of these terms, you must immediately stop using our services. ProfilePay is a technology product operated out of Ahmedabad, Gujarat, India.

2. Description of Service & Legal Status

ProfilePay provides a digital utility allowing professionals, creators, and businesses to generate personalized UPI intent links, downloadable QR codes, and customizable public profile pages. We act solely as a technology layer that generates a link to open third-party UPI applications (such as Google Pay, PhonePe, Paytm, CRED, or any NPCI-compliant UPI app) on the payer's device. We do not touch, hold, process, route, intermediate, or manage the actual funds transferred between your clients and your bank account. The entire payment flow is executed peer-to-peer between the sender's and receiver's banks via the UPI protocol governed by NPCI.

3. Eligibility

You must be at least 18 years of age to use ProfilePay. By creating an account, you represent and warrant that you are of legal age to form a binding contract under the Indian Contract Act, 1872, and that all registration information you submit is truthful and accurate. ProfilePay reserves the right to refuse service to anyone for any reason at any time.

4. User Account & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during registration.
• Promptly update your profile information if it changes.
• Immediately notify us of any unauthorized use of your account at support@profilepay.in.
• Not share, transfer, or sell your account credentials to any third party.

5. User Obligations & Prohibited Uses

You agree to use the Platform only for lawful purposes. You are strictly prohibited from using ProfilePay to generate routing links or profile pages for:

• Illegal goods, controlled substances, or unauthorized services.
• Fraudulent activities, phishing, scams, or deceptive practices.
• Gambling, betting, or any activity prohibited under Indian law.
• Content that infringes upon intellectual property, privacy, or publicity rights of others.
• Any content violating local, state, national, or international laws.

Violation of these terms will result in immediate account termination without notice and may be reported to the appropriate law enforcement authorities.

6. Accuracy of UPI ID

ProfilePay cannot verify the ownership of a UPI ID and holds zero liability for funds sent to an incorrect, misspelled, or deactivated UPI ID resulting from user input error. Once a payment is initiated via a UPI app on the payer's device, ProfilePay has no ability to intercept, reverse, or modify that transaction.

7. Transaction Disputes & Liability

Because ProfilePay does not process any payment, we cannot issue refunds, reverse transactions, or mediate chargebacks for UPI payments. Any dispute regarding a payment amount, product delivery, service quality, or refund is strictly between you (the receiver) and your client (the sender). Both parties should contact their respective banks or use their UPI app's dispute resolution mechanism. ProfilePay is not liable for:

• Network failures, pending transactions, or server downtimes on the UPI network (NPCI).
• Outages or errors within third-party banking or UPI applications.
• Delayed settlements between banks.
• Any financial loss arising from the use of our generated links or QR codes.

8. Software Subscriptions (Pro Plan)

While we charge 0% transaction fees on the payments routed to you via UPI, access to advanced software features (such as premium themes, advanced analytics, custom branding, and priority support) is provided via our premium subscription tiers. These are auto-renewing subscriptions billed on a monthly or yearly cycle via our billing partner (Razorpay). You may cancel your subscription at any time from your Billing settings — cancellation takes effect at the end of your current paid cycle, and you will not be charged again. 9. Intellectual Property

All content, features, functionality, and design elements of the ProfilePay platform—including but not limited to the website, logos, icons, graphics, code, UI/UX design, and documentation—are owned by ProfilePay and are protected by Indian and international copyright, trademark, and intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works of any part of the platform without our express written consent.

You retain full ownership of the content you upload to your profile (display name, bio, profile photo, social links). By uploading, you grant ProfilePay a non-exclusive, royalty-free license to display this content on your public profile page as part of the service.

10. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, or is illegal. You may delete your own account at any time from your dashboard settings. Upon termination, your public profile link will be deactivated and your username will be released.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ProfilePay, its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or in connection with your use of the platform. Our total aggregate liability to you for any claim arising out of these Terms shall not exceed the amount you have paid us in subscription fees during the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the service will be uninterrupted, secure, or error-free.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email notification to the address associated with your account or through a prominent notice on the platform. Your continued use of ProfilePay after such modifications constitutes acceptance of the updated Terms. We recommend reviewing this page periodically for changes.
